Exit Planning and the Liquidity Gap: What Most Founders Miss

    November 2025 7 min read

Your exit strategy is only as strong as your liquidity plan. Without structured preparation, value leaks at the moment you need it most.

The Gap Between Enterprise Value and Owner Liquidity

Most founders building toward an exit focus on enterprise value. They optimize EBITDA, clean up the books, and prepare the business for sale. What they often underestimate is the liquidity gap, the difference between what the business is worth on paper and what the owner actually receives in usable cash at transition.

    Where Value Leaks

    Value leaks at three points:

    1. Pre-exit operational risk. A continuity event during the run-up to a sale, death, disability, or loss of a key contributor, can collapse a deal or compress valuation by 20 to 40%. Structured key-person and continuity coverage is, in part, deal-protection insurance.

    2. Transaction structure. Earnouts, seller notes, and rollover equity defer liquidity. The owner's actual cash position at close may be a fraction of the headline price. Insurance and structured planning can backstop the deferred portion.

    3. Post-transaction tax exposure. Capital gains, state taxes, and estate exposure can claim a meaningful portion of the proceeds. Pre-transaction planning, often involving permanent insurance, ILITs, and charitable structures, can materially reduce the leakage.

    A Pre-Exit Review

A Premier 72 pre-exit review maps the liquidity gap, identifies the structural fixes available, and coordinates with your M&A advisor, CPA, and attorney. The earlier the review happens, the more options exist.

Three years out is ideal. Eighteen months is workable. Six months is reactive.
